Avegant is seeking a Commercial Counsel to contribute to bringing our cutting-edge augmented reality display technology to market. The position will be best filled by a highly-motivated person with 8-10 years of legal experience, with at least 3-5 years as a product counsel for hardware products. This position will be responsible for the full legal function of the organization, with an emphasis on supporting new product introduction. This is a great opportunity to help a late-stage startup commercialize a revolutionary technology in a fast-growing field. This position will work closely with our engineering, sales, finance, and operations teams. This position reports to the Chief Operating Officer.
This is a full time position, with a salary range of $180,000-$225,000, depending on experience. Other benefits include stock options, full medical, dental, vision benefits, 401k matching, unlimited PTO, office snacks, and team lunches.
While the role is a hybrid role, there is an expectation that you will spend regular time in the office to build relationships and trust with the team. Our office is an open workspace, dog-friendly, located in San Mateo, CA, within walking distance of Caltrain.
Responsibilities:
Product-related responsibilities
- Own legal compliance for Avegant products
- Work with engineering, sales, and leadership team to support all aspects of product development and new product introductions through the entire product life cycle, from design, product development, to manufacturing, sales and post-sales support
- Advise on product-specific legal strategy in alignment with company strategy and risk tolerance
- Draft / review / advise on / negotiate customer and partner agreements
- Review / negotiate NDAs, loan agreements, and sales agreements
- Manage trademark and patent strategy from an administrative and compliance standpoint
- Track licenses and contract obligations
- Review / approve POs or negotiate appropriate terms
General legal responsibilities
- Own general legal compliance
- Corporate transactions and administration
- Contract negotiation and drafting
- Support regular finance deliverables (revenue recognition, investor audits, investor information requests, annual financial audits, taxes, etc.)
- HR compliance
- Contribute to building and improving upon legal infrastructure and process
- Provide strategic guidance to assess and mitigate legal and business risk
Qualifications:
- Comfort in working cross-functionally both in person and remotely (with engineering, sales, and leadership teams)
- Willingness to try new solutions and share challenges and roadblocks
- A “how can I help” mindset
- Curiosity, humility
- J.D. degree, admitted to California State Bar
- 8-10 years of legal experience
- 3 to 5 years of experience with hardware products
- In-house experience
- Ability to build and foster relationships across the team
- Solid communication skills, ability to work in ambiguous / changing situations
- Comfort navigating risk when evaluating legal strategy
- Experience with, or interest in learning, the full spectrum of legal support in a startup (ideal position for someone looking to develop skills for a General Counsel role)
- Strong interest in technology
- Experience in drafting and negotiating a broad range of intellectual property and commercial agreements, including technology and supply agreements
- Familiarity with other legal areas (e.g., patents, trademarks, privacy, import/export)
